End User Licence Agreement

Boethius is free and proprietary. It costs nothing, it may be used commercially, and everything you make with it is yours — but the source is not published and the software is not licensed for redistribution. The terms below govern; Section 0 is a summary and says so itself.
Reproduced in full and unaltered. The exact file is also available as plain text, and ships alongside the software itself. This agreement covers the software; use of the website is covered by our terms of use and privacy policy.
BOETHIUS — END USER LICENCE AGREEMENT
Version 1.0 — 18 August 2026
Applies to Boethius 0.1.0-alpha and later, until superseded.
Boethius is published by Reverential Studios LLC, a Pennsylvania limited
liability company ("Reverential", "we", "us"). By installing, copying,
loading, or using Boethius (the "Software"), you agree to this Agreement.
If you do not agree, do not install or use the Software.

0. THE SHORT VERSION

This summary is for convenience and is not part of the Agreement. Where it
differs from the numbered terms below, the numbered terms govern.
- Boethius is free. Use it for anything you like, including commercial
music, with no fee and no royalty.
- Whatever you make with it is 100% yours. We claim nothing in your music.
- Don't redistribute it, sell it, or pass it off as your own. Send people
to us instead. Want to bundle it, mirror it, or ship it with something?
Ask us — the answer might well be yes.
- It is ALPHA software. It will change; it may break; it may destroy
your saved projects between versions. Keep backups.
- Much of it was written with AI assistance. See section 7.
- It comes with no warranty of any kind, and our liability is capped at
zero because you paid us nothing.

1. LICENCE GRANT

1.1 Subject to your compliance with this Agreement, Reverential grants you a
worldwide, royalty-free, non-exclusive, non-transferable, revocable
licence to install and use the Software.
1.2 You may install and use the Software on any number of devices that you
own or control.
1.3 This licence covers both personal and COMMERCIAL use. You may use the
Software to create music that you sell, license, perform publicly,
stream, distribute, or otherwise exploit for profit, with no fee, no
royalty, and no obligation to credit us. (Credit is always welcome and
never required.)
1.4 You may make copies of the Software solely for backup purposes, provided
those copies remain under your control and subject to this Agreement.

2. YOUR CONTENT — WE CLAIM NOTHING

2.1 Reverential asserts no ownership of, and no rights in, any audio,
recording, composition, performance, preset, patch, project file, MIDI
data, or other material you create using the Software ("Your Content").
2.2 Your Content is yours entirely. No part of this Agreement grants us any
licence to it, and nothing you make with the Software becomes a
derivative work of the Software by virtue of having been made with it.
2.3 This clause survives termination of this Agreement, permanently. If your
licence to use the Software ends for any reason, your rights in music
you already made with it are unaffected.

3. RESTRICTIONS

Except with Reverential's prior written permission, you may not:
3.1 Distribute, publish, sell, rent, lease, lend, sublicense, or otherwise
make the Software available to any third party, whether alone or bundled
with other material, and whether or not for a fee. If you want someone
else to have Boethius, direct them to Reverential's website. Sharing
links to Reverential's official download page is encouraged and does not
require permission.
3.2 Modify, adapt, translate, or create derivative works of the Software.
3.3 Reverse engineer, decompile, or disassemble the Software, or attempt to
derive its source code, EXCEPT to the precise extent that such activity
is expressly permitted by applicable law notwithstanding this limitation
(including, where applicable, interoperability rights under EU Directive
2009/24/EC Article 6, 17 U.S.C. section 1201(f), or equivalent national
law).
3.4 Remove, obscure, or alter any copyright, trademark, or other proprietary
notice contained in or displayed by the Software.
3.5 Use the Reverential or Boethius names, logos, or trade dress to endorse
or promote any product, or in any way that suggests affiliation with or
endorsement by Reverential.
3.6 For the avoidance of doubt, nothing in section 3.2 or 3.3 restricts your
use of the Software's ordinary features, including editing parameters,
saving and loading presets and host projects, or automating parameters.
3.7 PERMISSION. Any permission under this section must be given by
Reverential in writing to be effective. Permission granted for one
purpose, person, or occasion is specific to it and is not a general
waiver, a course of dealing, or a precedent entitling anyone else to the
same. Reverential is under no obligation to grant any request, and may
decline without giving reasons.
Nothing in this Agreement limits Reverential's freedom, as the rights
holder, to license the Software to anyone on different terms at any time.

4. OWNERSHIP AND RESERVATION OF RIGHTS

4.1 The Software is licensed, not sold. Reverential and its licensors retain
all right, title, and interest in and to the Software, including all
intellectual property rights.
4.2 The Software is provided in object-code and browser-executable form only.
No source code is provided, and no rights to source code are granted.
4.3 Some portions of the Software are, by the nature of the medium, delivered
in human-readable form (for example, the interface markup and script
served by the browser version). Their being readable grants no licence
beyond the use rights in section 1, and does not waive section 3.
4.4 All rights not expressly granted in this Agreement are reserved.

5. THIRD-PARTY COMPONENTS

5.1 The Software incorporates third-party open-source components, each
governed by its own licence terms. Those terms are reproduced in the
accompanying file THIRD-PARTY-NOTICES.txt, which is part of the Software
as distributed.
5.2 Where a third-party licence grants you rights broader than this
Agreement, that licence governs as to that component, and this Agreement
does not purport to restrict it.
5.3 VST is a registered trademark of Steinberg Media Technologies GmbH.

6. ALPHA SOFTWARE — WHAT THAT MEANS HERE
================================================================================
6.1 The Software is pre-release, alpha-stage, and under active construction.
It is not feature-complete and has not been comprehensively tested.
6.2 Between versions, and without notice, we may change or remove features,
change parameter identifiers, ranges, scaling, or numbering, change the
saved-state format, or discontinue the Software entirely.
6.3 ANY OF THESE CHANGES MAY CAUSE PROJECTS SAVED IN YOUR DAW TO LOAD
INCORRECTLY, LOSE AUTOMATION, SOUND DIFFERENT, OR FAIL TO LOAD AT ALL.
We will document breaking changes where practical, but we do not
undertake to preserve compatibility, and we provide no migration path.
6.4 Do not use the Software for work you cannot afford to lose or redo.
Render your audio to files. Keep backups.
6.5 NO SUPPORT. We have no obligation to provide support, updates, bug
fixes, or any continuation of the Software. Where we do provide them, it
is voluntary and creates no ongoing duty.

7. AI-ASSISTED DEVELOPMENT — DISCLOSURE

7.1 Substantial portions of the Software were developed with the assistance
of generative AI tools under human direction, supervision, and review. We
disclose this so you can make an informed decision.
7.2 This disclosure does not diminish the disclaimers in sections 8 and 9;
it is offered in addition to them.

8. DISCLAIMER OF WARRANTY

8.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND
WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, REVERENTIAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS,
IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE
OF DEALING OR USAGE OF TRADE.
8.2 REVERENTIAL DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR
REQUIREMENTS, THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE,
THAT DEFECTS WILL BE CORRECTED, OR THAT IT IS COMPATIBLE WITH ANY
PARTICULAR HOST APPLICATION, OPERATING SYSTEM, OR HARDWARE.
8.3 Some jurisdictions do not allow the exclusion of certain warranties, so
some of the above exclusions may not apply to you. In that case, any
implied warranty is limited to the minimum duration permitted by law.

9. LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
REVERENTIAL, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE,
DATA, RECORDINGS, PROJECT FILES, GOODWILL, OR BUSINESS OPPORTUNITY,
ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, ON ANY
THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 WITHOUT LIMITING SECTION 9.1, REVERENTIAL SPECIFICALLY DISCLAIMS
LIABILITY FOR HEARING DAMAGE, EQUIPMENT DAMAGE, OR DAMAGE TO ANY
RECORDING OR PERFORMANCE ARISING FROM UNEXPECTED, EXCESSIVE, OR
DISCONTINUOUS AUDIO OUTPUT. AUDIO SOFTWARE CAN PRODUCE LOUD AND
UNEXPECTED SOUNDS. PROTECT YOUR EARS AND YOUR SPEAKERS.
9.3 REVERENTIAL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO
THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE
TOTAL AMOUNT YOU ACTUALLY PAID REVERENTIAL FOR THE SOFTWARE (IF ANY), OR
(B) TEN US DOLLARS (US $10.00).
9.4 Some jurisdictions do not allow the exclusion or limitation of incidental
or consequential damages, so the above may not apply to you in full.
Nothing in this Agreement excludes or limits liability that cannot
lawfully be excluded or limited, including liability for death or
personal injury caused by negligence, or for fraud.
9.5 You acknowledge that the allocation of risk in sections 8 and 9 is an
essential basis of this Agreement, and that Reverential would not provide
the Software free of charge without it.

10. PRIVACY

10.1 The Software contains no analytics, telemetry, usage reporting,
licence-check, or "phone home" functionality. It does not collect,
transmit, or store any personal data, and it makes no network requests
of its own.
10.2 The browser version is delivered by a web server, which may record
ordinary server request logs. Any such processing is described in the
privacy policy published on Reverential's website.

11. TERM AND TERMINATION

11.1 This Agreement takes effect when you first install or use the Software
and continues until terminated.
11.2 It terminates automatically and immediately if you materially breach any
term of section 3.
11.3 On termination you must stop using the Software and delete all copies in
your possession.
11.4 Sections 2, 4, 5, 6, 7, 8, 9, 12, and this section 11.4 survive
termination.

12. GENERAL

12.1 GOVERNING LAW. This Agreement is governed by the laws of the
Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws
rules, and excluding the United Nations Convention on Contracts for the
International Sale of Goods. Where you are a consumer resident elsewhere,
this choice does not deprive you of the protection of mandatory consumer
law in your place of residence.
12.2 EXPORT. You may not use or export the Software in violation of United
States export laws and regulations, or of any other applicable law.
12.3 US GOVERNMENT END USERS. The Software is "commercial computer software"
under FAR 12.212 and DFARS 227.7202, licensed with only the rights
granted here.
12.4 ENTIRE AGREEMENT. This Agreement, together with THIRD-PARTY-NOTICES.txt,
is the entire agreement between you and Reverential regarding the
Software, and supersedes any prior or contemporaneous understanding.
12.5 SEVERABILITY. If any provision is held unenforceable, it shall be
modified to the minimum extent necessary to make it enforceable, or if
that is not possible, severed. The remaining provisions stay in force.
12.6 NO WAIVER. Our failure to enforce any provision is not a waiver of it.
12.7 ASSIGNMENT. You may not assign this Agreement. Reverential may assign it
in connection with a merger, acquisition, or sale of assets.
12.8 CHANGES. We may issue future versions of the Software under revised
terms. Revised terms apply only to versions distributed after they take
effect; they do not retroactively change the terms of a version you
already have.
